
One Vault, Many Ledgers: The Concentration Beneath Bitcoin's ETF Era

It is a corporate vault in a nondescript building, guarded by access badges, biometric scanners, and the quiet assumptions of institutional finance. This is the strange truth that Bitwise, one of the United States' most prominent spot Bitcoin ETF issuers, forced back into public view when it acknowledged what many in the industry have privately known for months: Coinbase dominates custody for the majority of spot exchange-traded funds tracking Bitcoin.
The statement was delivered without drama. A fact, stated plainly, as if describing the weather. And yet, buried beneath that single sentence is a question that should unsettle anyone who has ever repeated the phrase "not your keys, not your coins." When the overwhelming majority of institutional Bitcoin exposure rests on the balance sheet of one American publicly traded company, we are no longer talking about decentralized finance. We are talking about a bank, with better marketing. Bitwise used the phrase "systemic risk" in its assessment, and that phrase deserves attention. It is the same adjective regulators reserve for too-big-to-fail banks. It implies that the failure of one entity could cascade through an entire market.
For those who came to this industry during the bear market of 2022, or the recovery of 2023, the custody concentrated in Coinbase's hands is not news. It is architecture. The company successfully positioned itself as the compliant bridge between traditional capital and digital assets, wrapping a regulatory-first posture around a crypto-native core. Its custody arm, launched years before the ETF approvals, was designed for exactly this moment: institutions that wanted Bitcoin exposure without the operational burden of self-custody. When the SEC approved the first wave of spot Bitcoin ETFs in January 2024, Coinbase was already the default choice for the majority of them. The company's dominance was not achieved through technological superiority or academic consensus. It was achieved through a careful alignment of incentives: regulatory approval, public listing, insurance arrangements, and the kind of enterprise-grade compliance documentation that pension funds and registered investment advisors demand.
This arrangement, elegant in its own way, has created a paradox. The very asset that was designed to remove trusted third parties from the financial system now depends, at its institutional margin, on the integrity of a single custodial institution. Bitwise's public acknowledgment of this fact suggests that even the issuers who benefit from Coinbase's dominance are aware of the structural fragility it creates. The questions this raises are uncomfortable. What happens if Coinbase suffers a breach? What happens if its insurance coverage proves inadequate? What happens if the company faces a regulatory action that freezes its custody operations? These scenarios are not certainties. But when single points of failure are concentrated in one organization, the difference between probability and certainty is only a matter of time.
The competitive picture makes the concentration more understandable, and more concerning. BitGo has long argued for multi-signature security and institutional-grade technology. Fidelity Digital Assets carries the credibility of a legacy financial institution that owns its own ETF. Gemini offers a regulated trust structure and insurance. Yet none has emerged as a serious challenger to Coinbase's custody dominance. The reasons are structural. ETF issuers choose custodians based on relationships, capital adequacy, and perceived regulatory comfort. Coinbase offers all three in one package, bundled with its prime brokerage and exchange infrastructure. The result is a circular advantage: the more ETFs Coinbase custodies, the more market share it accumulates; the more market share it accumulates, the more central it becomes to the ETF infrastructure; the more central it becomes, the harder it is for competitors to dislodge it. This flywheel is a feature for Coinbase's shareholders and a fragility for everyone else.
Custody, at its core, is the management of keys and the assurance of access. The technology that underpins Coinbase's custody is genuinely impressive. The company employs geographically distributed cold storage, hardware security modules, multi-signature controls, employee background checks, and millions of dollars in insurance policies, though the exact coverage remains opaque. From my own experience auditing smart contracts during the ICO era, I learned that the security of any system depends not on the sophistication of its individual components but on the assumptions that bind them together. Large custodians can spread fixed costs—insurance premiums, security infrastructure, compliance teams—across a larger asset base. The marginal cost of custodying another billion dollars of Bitcoin for a major ETF is smaller for Coinbase than it would be for a smaller competitor. This creates a durable moat. It also means that any serious attempt to diversify custody would require ETF issuers to accept materially higher costs, which would be passed on to investors in the form of higher expense ratios. This is the hidden trade-off in the "custody concentration problem": decentralization, in this context, is not free. It carries a fee. And because it carries a fee, it will not be adopted voluntarily. It will require either regulatory compulsion or a market event severe enough to force a reassessment.
The timing of Bitwise's statement matters. Public acknowledgments of systemic risk by asset managers are rarely innocent. One plausible reading is that Bitwise is engaged in renegotiating its custody agreement with Coinbase—and that a public statement about concentration is a way to strengthen its negotiating position. Asset managers understand that a single dominant custodian has pricing power. By publicly raising the specter of systemic risk, Bitwise may be positioning itself for lower fees or enhanced service commitments. This is not conspiracy; this is how institutional finance works. At the same time, the market's immediate response to such commentary tends to be muted. The awareness of concentration risk has been a feature of the Bitcoin ETF discussion since 2023. The announcement changes no positions and triggers no redemptions. The risk has been priced, at least partially, into the structure of the ecosystem. But pricing a risk does not eliminate it. It merely quantifies the compensation required to accept it.
The regulatory dimension deserves extended attention. When an ETF issuer publicly questions the stability of its own custodian, the SEC and the Treasury are listening. Regulators face a dilemma. They prefer the concentration that makes supervision easier, but they are also acutely aware that a single point of failure in a trillion-dollar asset class would be catastrophic. When we become comfortable with the idea that a corporate balance sheet can substitute for a private key, we have accepted a compromise that the original Bitcoin whitepaper explicitly rejected. Institutional investors should not self-custody billions of dollars of Bitcoin; that would be reckless. But the industry's unquestioning acceptance of single-custodian concentration represents an intellectual laziness we would not tolerate elsewhere. There is a deeper layer to this conversation that rarely receives adequate attention: the ETF wrapper itself. Even if Coinbase's custody were flawless, even if it held every Bitcoin in cold storage with perfect multigenerational key governance, the ETF still operates within a legal structure that requires authorized participants to create and redeem shares, market makers to maintain liquidity, and a trustee to shepherd the entire apparatus. The Bitcoin in the vault is not the Bitcoin the investor owns. The investor owns a share in a trust, defined by regulatory filings and contractual agreements. The custody concentration is not the only point of centralization; it is merely the most visible one. The entire architecture of Bitcoin ETFs is built on traditional finance's plumbing. This does not make the product invalid. But it should temper the narrative that ETFs represent a triumph of decentralization. They represent the opposite: the adoption of a decentralized asset by centralized infrastructure.
The market's current answer to the custody problem is that the probability of a Coinbase failure is low, and that the cost of diversification is too high. Both points are defensible. But the low-probability assessment carries an uncomfortable corollary: should a failure occur, its impact would be catastrophic precisely because the concentration is so high. Risk analysis is not simply about the likelihood of an adverse event; it is about the magnitude of the consequence. A multi-custodian model, in which ETFs hold Bitcoin with several regulated custodians, is the most obvious structural improvement. It would reduce single-point-of-failure exposure, introduce competitive discipline, and align more closely with the redundancy standards of other financial infrastructure. The cost would be real but not prohibitive. Proof-of-reserves, implemented through cryptographic attestation, could add a layer of on-chain transparency allowing the public to verify that assets exist without compromising security. The technology already exists. What has been missing is the will.

We can build toward a future where institutional Bitcoin is safeguarded by redundant, auditable, structurally decentralized custody. Or we can accept the current architecture and its quiet, systemic risk. I know which future I intend to build toward. The question is whether the market, the regulators, and the issuers who hold the key relationships will choose to build as well. Custody was never just a technical problem.
